Often, the key determinants to a successful financing are the steps taken before the financing process starts. We advise entrepreneurs on appropriate deal structures, whether convertible notes, SAFEs, seed or other series of preferred stock, debt financings or debt and equity hybrids. We assist our clients in the search for sources of funding, negotiate and draft term sheets, respond to due diligence requests, draft and negotiate deal documents and represent company clients throughout financing transactions from start to finish. We often represent our clients through multiple rounds of financing sometimes through M&A transactions when they sell their company. In those cases where outside counsel is engaged to represent our clients in major transactions, we serve as in-house counsel and help relieve the pressure on our clients’ management teams who need to focus on operating their business as much as on closing the transaction.
